# INO — Terms of Service & Purchase (United States)

These Terms of Service & Purchase ("Terms") govern your access to and use of the INO website located at https://www.weareino.com (the "Site"), operated by Yair Ohayon (sole proprietor) ("INO," "we," "us," or "our"). The operating party's business address is 1 Nir St., Be'er Tuvia Industrial Zone, Israel. By accessing or using the Site, you ("you," "the Customer," or "User") agree to these Terms. These Terms form a binding agreement between you and INO. If you do not agree, do not use the Site.
These Terms apply to your use of the Site through any device or means of access.
The Site is intended for users in the United States and is not directed to the European Union, the European Economic Area, or the United Kingdom.
> **IMPORTANT — CURRENT STAGE OF THE US SITE.** At this time, the Site is **informational only** (a brochure-style website). It **does not sell products**, **does not collect email signups**, and has **no mailing list**. The Site simply presents information about INO and its products and may display a "coming soon" or "sold out" message. The purchase, payment, shipping, return, and warranty terms below are **forward-looking**: they will apply **when purchasing becomes available on the US Site**, and are published now for transparency. Until then, the sections describing ordering, payment, delivery, returns, and product warranties describe how we *intend* to operate and do not yet create an ability to buy.

## 1. General
1.1 Your use of the Site and (when available) your purchases are subject to these Terms. These Terms constitute a binding agreement between you and INO.
1.2 INO strives to present accurate product information and images. Non-material errors, omissions, or inaccuracies may nonetheless occur, and **INO is not liable for non-material inaccuracies** in product descriptions, specifications, or other content. Product images are for illustration only and may differ from the actual product.
1.3 INO's system timestamp and electronic records are the decisive record of the time and content of any action taken on the Site, absent manifest error.
1.4 We may update these Terms from time to time. The "Last updated" date above reflects the most recent version. Material changes will be posted on the Site, and your continued use after changes take effect constitutes acceptance.

## 2. Who We Are; Products; Country of Manufacture
2.1 The Site offers information about **foldable (folding) yoga mats and yoga accessories**.
2.2 **Country of manufacture and INO's role.** The products are **manufactured in China**. **INO is an intermediary / reseller and is NOT the manufacturer** of the products.

## 3. Informational Site (Current Stage)
3.1 The Site is currently **informational only**. It **does not sell products** and **does not collect email signups** — there is no mailing list, and there are no forms for you to submit. The Site may display product information and a "coming soon" or "sold out" message.
3.2 Because the Site does not ask you to submit any information, you are not required to provide an email address, name, or any other personal details to view the Site.
3.3 **The only data the Site processes** is what the Shopify platform sets automatically: (a) strictly-necessary / essential cookies that make the Site work and keep it secure (including a cart/session cookie only if a cart is present), and (b) basic first-party website analytics provided by Shopify (such as aggregate page views, general traffic, and IP/device/usage data). The Site does **not** collect your email or name, does **not** use third-party advertising pixels (such as Meta, Google, TikTok, Taboola, or Outbrain), and INO does **not** sell or share your personal information. See our Privacy Policy (Section 18) for details.

## 4. Registration and Eligibility (Forward-Looking — Applies When Purchasing Launches)
4.1 When purchasing becomes available, a buyer will be referred to as **"the Customer."**
4.2 To place an order you will follow the instructions on the Site. Guest checkout will be available.
4.3 Any person or entity with legal capacity to enter a binding contract may purchase. INO may require additional identification where reasonably necessary.
4.4 INO may refuse service to, or bar, any user who: (a) uses the Site for any unlawful purpose; (b) breaches these Terms; (c) provides knowingly false or misleading details; (d) acts to harm, disrupt, or interfere with the Site or other users; or (e) uses a payment card that is blocked, limited, or otherwise not honored.

## 5. Orders and Purchases (Forward-Looking)
5.1 When purchasing is available, you will add products to your cart and provide your name, email address, and phone number, together with a US shipping address (recipient name, street address, city, state, and ZIP code) and any delivery notes.
5.2 Providing accurate, complete details is a **precondition** to processing any order. INO is not responsible for delays or failures caused by inaccurate or incomplete information you provide.
5.3 **Order acceptance.** Our confirmation that we have **received** your order details is an acknowledgment only and is **NOT** acceptance of your order or a commitment to supply. A binding contract of sale is formed only when INO accepts the order and confirms that the product has been dispatched (or otherwise expressly confirms acceptance). INO may decline or cancel any order before that point.
5.4 **Pricing.** Prices and any applicable taxes will be shown at checkout when purchasing becomes available. INO may discontinue marketing any product or change prices at any time before an order is accepted.
5.5 **Sales tax.** Prices shown do not include US sales tax unless stated otherwise. Where INO is required to collect sales or use tax, the applicable tax will be calculated and added at checkout based on the shipping destination and applicable law. *(US sales-tax collection is determined by each state's economic-nexus rules following* South Dakota v. Wayfair, 585 U.S. 162 (2018)*.)*
5.6 **Stock-display errors.** Products are offered subject to availability. If a product is shown as available due to a stock-display or inventory error, INO may cancel the affected order and refund any amount paid, or offer an equivalent product. You will have **no claim** against INO arising from a stock-display error, and **INO is not liable for any direct, indirect, consequential, or special damages** resulting from a stock-display error, except as required by applicable law.

## 6. Payment (Forward-Looking)
6.1 When purchasing is available, payment may be made by a valid credit card or other means INO agrees to accept.
6.2 **Card data handling.** Your payment card details (such as ID/billing identifier, card type, expiration date, and CVV) are **NOT stored by INO**. They are transmitted to and processed by an external payment processor (to be identified when purchasing launches). INO may change the accepted payment methods and the payment processor at any time.
6.3 After an order is placed, the payment method is verified. If the payment is not approved, the order will be canceled.
6.4 Every purchase is conditional on the product being in stock at the time the order is accepted.
6.5 If you believe you were charged in error, contact INO at weareino.usa@gmail.com and, if confirmed, INO will issue a credit/refund of the erroneous amount.

## 7. Shipping and Delivery (Forward-Looking)
7.1 When purchasing is available, delivery will be performed by **third-party carriers**, for a shipping fee shown on the order page. **INO does not perform shipping itself** and acts only to arrange carriage through independent carriers.
7.2 Accurate delivery details are required. If additional handling or re-delivery is needed because of inaccurate or incomplete details you provided, an extra handling and/or shipping charge may apply.
7.3 When purchasing is available, INO will provide an estimated delivery time on the order page and will make reasonable efforts to deliver within that estimate. Because products are manufactured in China and shipped via third-party carriers, delivery times may vary, and delivery estimates are not guarantees.
7.4 The shipping fee is paid together with the product but constitutes a **separate transaction** for carriage. Where payment is made in installments, INO may collect the shipping fee with the first charge.
7.5 **Force majeure.** INO is not liable for delays or failures to deliver caused by events beyond its reasonable control, including but not limited to acts of God or nature, war, military or security operations, national emergency, natural disaster or damage, fire, flood, severe weather, strikes or labor disputes, supplier or manufacturing disruptions, governmental action, or causes attributable to the carrier.

## 8. Returns and Refunds (Forward-Looking)
> **NO FEDERAL "COOLING-OFF" RIGHT FOR ONLINE PURCHASES.** US federal law does **not** give you an automatic right to cancel or return an online order simply because you changed your mind. The FTC's "Cooling-Off Rule" (16 C.F.R. Part 429) applies only to certain sales made at your home, workplace, or a seller's *temporary* location — **not** to online, mail, or telephone orders. Any return window INO offers is therefore **INO's own business policy**, described below.
8.1 **INO return policy.** When purchasing is available, INO intends to accept returns of unused products in their original packaging within **14 days from delivery**. To request a return, send written notice to weareino.usa@gmail.com or use the return/cancellation form linked in the Site footer.
8.2 **Conditions of refund.** A refund is conditional on the product being returned to INO **unused and in its original packaging** within the return window. **The customer is responsible for the cost of return shipping**, except where the return is due to INO's error or a defective product. **INO does not charge a restocking fee.**
8.3 **Shipping fees.** Outbound and return shipping fees are not part of the product price and are **not refundable**, except where required by applicable law or where the return is due to INO's error or a defective product.
8.4 **INO-initiated cancellation.** INO may cancel any sale or order at any time and refund amounts paid (for example, due to a stock-display error, inability to verify payment, or suspected fraud or misuse).
8.5 **State posting requirements.** Some states (for example, California and New York) require sellers to post their return policy conspicuously and, if no policy is posted, grant the buyer a default return right. In California, this applies to sellers whose policy is more restrictive than a 7-day full cash or credit refund; if a compliant policy is not conspicuously posted, the buyer has a 30-day full-refund right. INO will post this policy conspicuously on the Site and at checkout and will honor it as stated.

## 9. Product Warranty and Service (Forward-Looking)
> **PLEASE READ SECTIONS 9, 10, AND 11 CAREFULLY — THEY LIMIT INO'S WARRANTIES AND LIABILITY.**
9.1 INO stands behind its products but is responsible **only** for a **material non-conformity or defect caused by INO**. INO is **not** responsible for damage resulting from unreasonable, careless, improper, or off-label use of a product.
9.2 **"Reasonable and careful use"** means use in accordance with the Safe-Use and Care instructions in **Section 13** below. Use that does not follow Section 13 is not "reasonable and careful use."
9.3 **Inspection and notice of defects.** You must inspect each product upon receipt and report any defect or non-conformity to INO **within a reasonable time after you discover or should have discovered the defect** (consistent with UCC § 2-607). This notice requirement does not waive or shorten any non-waivable rights you may have under applicable state law, and nothing in this Section bars a timely claim for a latent (hidden) defect that could not reasonably have been discovered on inspection. INO may require reasonable proof of the original purchase.
9.4 **Sole remedy.** For a covered material defect or non-conformity, INO's sole obligation, and your **sole and exclusive remedy**, is **repair or replacement of the product, at INO's discretion**.
9.5 **Cap on warranty liability.** INO's **total liability for any defective or non-conforming product will never exceed the purchase price paid for that product.** This Section 9 is subject to Section 11 (Limitation of Liability), including the personal-injury carve-out.
9.6 If INO offers a separate written warranty for a product, its full terms will be made available to you before purchase, and you may obtain those terms both online and by a non-internet method (such as by contacting INO at the email or mailing address listed in these Terms). Any such written warranty will be clearly labeled and will not reduce any implied-warranty or other rights you have under applicable law. If INO does not offer a written warranty for a product, the disclaimers in Section 10 apply.

## 10. DISCLAIMER OF WARRANTIES
10.1 EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY INO SEPARATELY PROVIDES (SEE SECTION 9.6), THE SITE AND ALL PRODUCTS ARE PROVIDED **"AS IS"** AND **"AS AVAILABLE,"** WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND.
10.2 TO THE FULLEST EXTENT PERMITTED BY LAW, INO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF **MERCHANTABILITY**, **FITNESS FOR A PARTICULAR PURPOSE**, TITLE, AND NON-INFRINGEMENT. INO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PRODUCT WILL MEET YOUR REQUIREMENTS.
10.3 SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. THIS DISCLAIMER GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE.

## 11. LIMITATION OF LIABILITY
11.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL INO, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY **INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES**, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE, THESE TERMS, OR ANY PRODUCT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF INO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 TO THE FULLEST EXTENT PERMITTED BY LAW, INO'S **TOTAL CUMULATIVE LIABILITY** ARISING OUT OF OR RELATED TO THESE TERMS OR ANY PRODUCT WILL NOT EXCEED **THE AMOUNT YOU ACTUALLY PAID TO INO FOR THE PRODUCT GIVING RISE TO THE CLAIM**.
11.3 **CARVE-OUT — INJURIES AND NON-WAIVABLE LIABILITY.** NOTHING IN THESE TERMS LIMITS OR EXCLUDES INO'S LIABILITY FOR **DEATH OR PERSONAL INJURY**, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT **CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW**. *(Under UCC § 2-719(3), limiting damages for personal injury caused by consumer goods is prima facie unconscionable.)*
11.4 SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN WHOLE OR IN PART.

## 12. Email & Messaging Communications (NOT ACTIVE — Forward-Looking)
> **NOT ACTIVE.** INO does **not** currently collect email addresses, operate a mailing list, or send any marketing email, SMS, or WhatsApp messages. The Site has no signup forms. The terms below are **forward-looking**: they describe how INO intends to comply **if and when** INO later starts an email list or SMS/WhatsApp messaging. They do not create any present-day email or messaging program.
### 12.1 Email Marketing (CAN-SPAM) — If INO Later Starts an Email List
If INO later starts an email list or otherwise sends commercial email, INO will comply with the federal CAN-SPAM Act:
- Messages will use accurate "From," "To," and routing information and non-deceptive subject lines.
- Commercial messages will be identifiable as advertising.
- Every commercial email will include INO's valid physical postal address.
- Every commercial email will include a clear, working **unsubscribe** mechanism. INO will honor opt-out requests within **10 business days**, keep the unsubscribe method working for at least 30 days after sending, and not charge a fee or require information beyond your email address to opt out.
If and when an email program launches, the email service provider and unsubscribe instructions will be disclosed at that time.
### 12.2 SMS / WhatsApp Messaging (TCPA) — If INO Later Starts Messaging
> **NOT ACTIVE.** INO does **not** currently send SMS or WhatsApp marketing messages. The following terms will apply **if and when** INO enables SMS or WhatsApp marketing.
- **Marketing texts / WhatsApp marketing messages.** INO will send promotional text or WhatsApp marketing messages **only** to recipients who have given **prior express written consent** to receive them. Consent is not a condition of any purchase. Message and data rates may apply; message frequency varies. You may opt out at any time by replying **STOP** (or as otherwise instructed in the message).
- **Support / transactional messages.** Messages you initiate, or that INO sends in direct response to your inquiry (for example, customer-service replies), are handled separately from marketing and are not promotional blasts.

## 13. Safe Use and Care of the Folding Yoga Mat
Please read and follow these instructions. They define "reasonable and careful use" under Section 9. Failure to follow them may void warranty coverage and increase the risk of injury.
**(a) Use surface.** The mat may be used indoors or outdoors **at the user's own risk**. Before each use, make sure the mat is stable and not slipping. Avoid slick, greasy, wet, or sloped surfaces.
**(b) Unfolding and flattening.** Fully unfold/unroll the mat and let it flatten before use. Fold lines may leave marks or slight unevenness. Make sure the mat is stable and flat before training, especially for balance and standing poses.
**(c) Pre-use inspection.** Before each use, check the mat for tears, wear, slick areas, and any damage along the fold lines. **Do not use a damaged mat.**
**(d) Intended purpose.** The mat is intended for yoga, Pilates, stretching, and similar floor exercise. It is **not** intended for high-impact activities, jumping, as an unsupervised children's play surface, or for any other off-label use.
**(e) Medical warning.** Physical activity carries inherent risk. The mat **does not prevent injury** caused by poor technique, overexertion, or pre-existing conditions. **Consult a physician before beginning any exercise program**, especially if you are pregnant, have a prior injury, or have any medical condition.
**(f) Cleaning and maintenance.** Clean with water or a damp cloth only. Do **not** use soap, harsh chemicals, solvents, bleach, or abrasives. Air dry. Do not dry in direct sunlight or extreme heat.
**(g) Storage.** Store the mat flat or folded in a cool, dry place. Avoid extreme heat and direct sunlight (including hot cars). Do not store under heavy objects that can create permanent fold lines affecting flatness and safety.

## 14. Acceptable Use and User Conduct
14.1 You agree to use the Site only for lawful purposes and in accordance with these Terms. You will not:
- use the Site for any unlawful, fraudulent, or harmful purpose;
- provide false, misleading, or unauthorized information (including someone else's payment or contact details);
- interfere with, disrupt, overload, or attempt to gain unauthorized access to the Site, its servers, or its security features;
- introduce viruses or malicious code, or scrape, harvest, or data-mine the Site without authorization;
- infringe the intellectual property or other rights of INO or any third party; or
- impersonate any person or entity.
14.2 INO may suspend or terminate your access for any violation of this Section or these Terms.

## 15. Intellectual Property
15.1 All intellectual property rights in and to the Site and its contents are the **exclusive property of INO** or are used by INO under license. This includes, without limitation, the product list and descriptions, design and layout, text and creative content, the INO name and the **weareino.com** domain, and all INO trademarks, logos, and trade names (whether or not registered).
15.2 You may not copy, reproduce, distribute, publicly display, publish, modify, or create derivative works from any part of the Site or its contents without INO's **prior written consent**.
15.3 INO's intellectual property is protected under US federal and state law, including the **Copyright Act of 1976 (17 U.S.C.)** and the **Lanham Act (15 U.S.C.)**. Unauthorized use may subject you to civil liability — including actual damages and, where available, statutory damages and attorneys' fees — and to other remedies available at law or in equity.

## 16. Accessibility
16.1 INO is committed to making the Site accessible to as many users as possible, including people with disabilities. We strive to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 at **Level AA** as a guiding standard. INO does **not** claim that the Site is fully accessible or fully compliant at all times, and accessibility is an ongoing effort. We assess accessibility through ongoing self-evaluation as the site changes. No accessibility barriers have been identified at this time; we will update this statement if any are found.
16.2 **Accessibility feedback.** Our Accessibility Coordinator is Yair Ohayon. We aim to respond within 5 business days.

## 19. Governing Law and Venue
19.1 These Terms and any dispute arising out of or related to them or to any product are governed by applicable United States law. INO does not currently designate a specific U.S. state's law to govern these Terms.
19.2 INO does not currently designate a specific court as the exclusive venue for disputes. Any dispute may be brought in a court of competent jurisdiction.
19.3 **Your home-state rights.** Nothing in this Section deprives you of the protection of any mandatory consumer-protection laws of the US state in which you reside that cannot be waived by agreement.

## 20. Miscellaneous
20.1 **Entire agreement.** These Terms, together with the Privacy Policy and any policies referenced here, are the entire agreement between you and INO regarding the Site and supersede prior understandings.
20.2 **Severability.** If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted.
20.3 **No waiver.** INO's failure to enforce any provision is not a waiver of its right to do so later.
20.4 **Assignment.** You may not assign these Terms without INO's consent. INO may assign these Terms in connection with a merger, acquisition, or sale of assets.
